Kairuku was created for you. It enables you to build and manage your distribution networks to significantly increase your access to customers. Please review and accept the following Statement of User Rights and Responsibilities before using the Kairuku platform.
Kairuku Statement of User Rights and Responsibilities
Effective as of January, 2020
This Statement of User Rights and Responsibilities (Statement) derives from the Kairuku Doctrine, and governs our relationship with users and others who interact with Kairuku.
BY ACCESSING OR USING THE KAIRUKU PLATFORM, YOU ARE INDICATING THAT YOU HAVE READ AND UNDERSTAND THE TERMS, AND THAT YOU AGREE TO COMPLY WITH AND BE LEGALLY BOUND BY THESE TERMS.
1. Privacy
Your privacy is very important to us. We designed our
Privacy Policy to make important disclosures about how you can use Kairuku to communicate / share with others and build / manage your businesses, and how we collect and can use your content and information. You should read the Privacy Policy, and to use it to help make informed decisions.
2. Kairuku Confidentiality and Intellectual Property
Kairuku is a closed platform only available for use by Kairuku members who have (i) agreed to the User Rights and Responsibilities set forth herein and our Privacy Policy, and (ii) signed agreements with Kairuku or a Kairuku Partner. As such, information about Kairuku is not publicly available and you hereby agree:
- Not to not share any information about the features or benefits of Kairuku with others including, but not limited to, device manufacturers, venture capitalists or investors, computer programmers or people who create software / write code, entrepreneurs, sales people, and /or other providers of tools or software used to assist in the administration of the sales/marketing/commercialization process. Kairuku considers confidential information to include, but not be limited to, the following: demonstration of the Kairuku platform, contracts / terms sheets between you or your organization and Kairuku, names, contact information and content posted by other Kairuku members, features, benefits, and capabilities of Kairuku, and usernames and passwords granting access to Kairuku.
- By agreeing to these terms, you acknowledge that sharing information about Kairuku with non-members will result in misappropriation of Kairuku intellectual property and / or trade secrets and that, in the hands of potential Kairuku competitors, this information may cause significant damages and financial expense to Kairuku and its shareholders. Furthermore, you hereby agree to direct any and all inquiries about Kairuku to a Kairuku representative so that Kairuku can decide what, if any, information to share. You understand that this confidentiality is intended to protect the interests of you, Kairuku, Kairuku shareholders, and all persons on or identified within the Kairuku platform.
- For avoidance of doubt, you agree not to disclose anything about Kairuku to any person or third party without prior written approval by Kairuku and you accept responsibility of any and all damages such disclosure causes should you violate this confidentiality. Furthermore, you agree not to share your username or password with anybody else and you will not demo Kairuku to any other party regardless of whether of whether or not they are covered under a confidentiality agreement with you or your organization.
3. Your Profile and Account
You agree that all information you submit to the Kairuku profile page is accurate and that you will keep it current. If Kairuku has grounds to suspect that your profile information is untrue, inaccurate or incomplete, Kairuku has the right to suspend or terminate your Kairuku account. It is your responsibility to maintain the confidentiality of your Kairuku password, and you are responsible for any activities that occur in your Kairuku account. You agree that Kairuku may send you important information and notices regarding Kairuku and your Kairuku account by email, text messaging or other means based on the information you provide to Kairuku. Each individual person is limited to one account.
4. Product Complaints and Patient Information
The Kairuku platform is an administrative tool that provides information to you, it is not intended to be used by you to share information about medical patients or to process complaints about medical products. Information about medical patients is strictly prohibited. You agree to not share information about medical patients and to promptly process all product complaints / report product failures and / or issues directly to each product manufacturer according to their complaint procedure.
5. Sharing Your Content and Information
Kairuku tracks your product sales and commissions. You own all of the content and information you post on Kairuku and you can control how it is shared or request further modification and clarification. In addition:
- Information about commissions payable is only available to distributor owners / managers and medical product manufacturers.
- Information about sales is available to all users according to their contracts / term sheets for each product.
- For content that is covered by intellectual property rights, like notes and competitive information, you specifically give us the following permission: you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that you post on or in connection with Kairuku (IP License). This IP License ends when you delete your IP content or your account unless your content has been shared with others linked to you, and they have not deleted it.
- Information about products is created, published, and owned by product manufacturers.
- If you would like to delete your IP content, either delete it within your MyKairuku or contact a Kairuku representative and they will delete it for you. Your IP content is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may persist in backup copies for a reasonable period of time (but will not be available to others unless it has already been shared prior to your request to delete).
- When you publish content or information using the Public setting, it means that you are allowing everyone within Kairuku to access and use that information, and to associate it with you (i.e., your name and profile).
- We always appreciate your feedback or other suggestions about Kairuku, but you understand that we may use them without any obligation to compensate you for them (just as you have no obligation to offer them).
6. Security
We do our best to keep the Kairuku platform secure, but we cannot guarantee it. We need your help to do that, which includes the following commitments:
- You will not send or otherwise post unauthorized commercial communications or web links (such as spam) on Kairuku.
- You will not collect users' content or information, or otherwise access Kairuku, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our permission.
- You will not engage in unlawful multi-level marketing, such as a pyramid scheme, on Kairuku.
- You will not upload viruses or other malicious code.
- You will not solicit login information or access an account belonging to someone else.
- You will not use Kairuku to do anything unlawful, misleading, malicious, or discriminatory.
- You will not do anything that could disable, overburden, or impair the proper working of Kairuku, such as a denial of service attack.
- You will not advertise, promote, or engage in business activities outside of those governed by agreements you sign with Kairuku and Kairuku partners.
- You will not facilitate or encourage any violations of this Statement of User Rights and Responsibilities or our Privacy Policy.
7. Registration and Account Security
Kairuku users are required to provide their real names and information. Here are some commitments you make to us relating to registering and maintaining the security of your account:
- You will not provide any false personal information on Kairuku, or create an account for anyone other than yourself without permission.
- You will not create more than one personal profile.
- If we disable your account, you will not create another one without our permission.
- You will not use your personal profile for your own commercial gain (such as selling your status update to an advertiser).
- You will not use Kairuku if you are under the age of 18.
- You will keep your contact information accurate and up-to-date.
- You will not share your password, let anyone else access your account, or do anything else that might jeopardize the security of your account.
8. Protecting Other People's Rights and Safety
We respect other people's rights, and expect you to do the same.
- You will not post content or take any action on Kairuku that infringes or violates someone else's rights or otherwise violates the law.
- You agree that we have the right to remove any content or information you post on Kairuku if we believe that it violates this Statement.
- If we remove your content for infringing someone else's copyright, and you believe we removed it by mistake, we will provide you with an opportunity to appeal.
- If we become aware that you have been or are infringing other people's intellectual property rights, we reserve the right to disable your account.
- You will not use our copyrights or trademarks (including Kairuku, the Kairuku and Penguin Logos) or any confusingly similar marks, without our written permission.
- You will not post anyone's identification documents or sensitive financial information on Kairuku.
- If you mistakenly gain access to or misappropriate information regarding Kairuku or other Kairuku members or users, you agree to not copy or further distribute such information and to immediately contact a Kairuku representative and the user who owns the information so the information can be taken down, made private, and / or protected.
- You will not post information that identifies medical patients.
- You will not post information about off-label use of medical products.
- You will not disparage other people’s products or businesses.
9. Mobile
- We currently provide our mobile services for free, but please be aware that your carrier's normal rates and fees, such as text messaging fees, will still apply.
- In the event you change or deactivate your mobile telephone number, you will update your account information on Kairuku within 48 hours to ensure that your messages are not sent to the person who acquires your old number.
- You provide all rights necessary to enable users to sync (including through an application) their contact lists with any basic information and contact information that is visible to them on Kairuku, as well as your name and contact information.
10. Special Provisions Applicable to Share Links
If you include our Kairuku Link button on your website, the following additional terms apply to you:
- We give you permission to use Kairuku’s Link button so that users can access their MyKairuku pages from your website.
- You give us permission to use and allow others to use such links and content on Kairuku.
- You will not place a Kairuku Link button on any page containing content that would violate this Statement if posted on Kairuku.
11. Amendments
Kairuku reserves the right, in its sole discretion, to amend this Statement, at any time and without prior notice, including to change, modify, add to, update or remove terms and conditions (collectively “amend” or “update”). If we choose to amend this Statement, we will update the Effective Date at the top of this Statement and post the updated version. We will also endeavor to notify you by e-mail or another means. By continuing to use the Kairuku Platform after we have posted an updated version of this Statement or otherwise notified you of an update, you are affirming that you agree to be bound by the amended Statement.
12. Termination
If you violate the terms of this Statement we can stop providing all or part of Kairuku to you. We will notify you by email or at the next time you attempt to access your account. You may also request to delete your account or disable your application at any time. In all such cases, this Statement shall terminate, but certain provisions regarding information and protective rights will still apply.
13. Disputes
- You will resolve any claim, cause of action or dispute (claim) you have with us arising out of or relating to this Statement or Kairuku exclusively in a state or federal court located in New York. The laws of the State of New York will govern this Statement, as well as any claim that might arise between you and us, without regard to conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in New York for the purpose of litigating all such claims.
- If anyone brings a claim against us related to your actions, content or information on Kairuku, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim.
- WE TRY TO KEEP KAIRUKU UP, BUG-FREE, AND SAFE, BUT YOU USE IT AT YOUR OWN RISK. WE ARE PROVIDING KAIRUKU AS IS WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE CAN NOT GUARANTEE THAT KAIRUKU WILL BE SAFE OR SECURE. KAIRUKU IS NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE §1542, WHICH SAYS: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR. WE WILL NOT BE LIABLE TO YOU FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT, OR INCIDENTAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS STATEMENT OR KAIRUKU, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF THIS STATEMENT OR KAIRUKU WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST SIX MONTHS. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH CASES, KAIRUKU’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
14. Special Provisions Applicable to Users Outside the United States
We strive to create a global exchange with consistent standards for everyone, but we also strive to respect local laws. The following provisions apply to users outside the United States:
- You consent to having your personal data transferred to and processed in the United States.
- If you are located in a country embargoed by the United States, or are on the U.S. Treasury Department's list of Specially Designated Nationals you will not engage in commercial activities on Kairuku (such as advertising or payments) or operate a Kairuku application or website.
15. Definitions
As used herein: the term
- “Kairuku” means the features and services we make available, including through (a) our website at www.kairuku.com and www.mykairuku.com (or links thereto) and any other Kairuku branded or co-branded websites (including sub-domains, international versions, widgets, and mobile versions); (b) our Platform; (c) social plug-ins such as the K and Penguin buttons, similar offerings and (d) other media, software (such as a toolbar), devices, or networks now existing or later developed.
- “information” means facts and other information about you, including actions you take.
- “content” means anything you post on Kairuku that would not be included in the definition of information.
- “data” means content and information that third parties can retrieve from Kairuku or provide to Kairuku through the platform / exchange.
- “post” means post on Kairuku or otherwise make available to us (such as by using an application).
- “use” means use, copy, publicly perform or display, distribute, modify, translate, and create derivative works of.
- “active registered user” means a user who has logged into Kairuku at least once in the previous 30 days.
- “application” means any application or website that uses or accesses Kairuku, as well as anything else that receives or has received data from us. If you no longer access Kairuku but have not deleted all data from us, the term application will apply until you delete the data.
16. Other
- This Statement is an agreement between you and Kairuku. References to “us,” “we,” and “our” mean that Kairuku is party to said reference as appropriate.
- This Statement, and the other documents and agreement referred to herein, makes up the entire agreement between the parties regarding Kairuku, and supersedes any prior agreements between users and Kairuku.
- If any portion of this Statement is found to be unenforceable, the remaining portion will remain in full force and effect.
- If we fail to enforce any of this Statement, it will not be considered a waiver.
- You will not transfer any of your rights or obligations under this Statement to anyone else without our consent.
- All of our rights and obligations under this Statement are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.
- Nothing in this Statement shall prevent us from complying with the law.
- This Statement does not confer any third party beneficiary rights.
- You will comply with all applicable laws when using or accessing Kairuku.

Kairuku values the privacy of individuals who use our products and services. This Privacy Policy describes the information Kairuku and its subsidiaries and affiliated companies (“Kairuku,” “ we,” or “ us” ) collect about our customers (“you”) and how we use and share that information.
By accessing or using our Website you consent with the provisions of this Privacy Policy. By providing us with personal information through our Website, you consent that we will collect, store, use, and may share such information with third parties as defined below in accordance with this Privacy Policy. Finally, by using our Website and providing us with any personal data you consent to us maintaining such personal information for as long as necessary to fulfill the purposes described in this Privacy Policy, unless a longer term retention is required or not prohibited by law. I. Information we receive and how it is used
Information we receive about you
Your information
Your information is the information that is required when you sign up for our site, as well as any information you choose to share.
- Registration information: When you sign up for Kairuku, you are required to provide your name, email address, business affiliation, title, accounts covered, products sold, and specialties of focus.
- Information you choose to share: Your information also includes the information you choose to share on Kairuku, such as when you post a note or comment. It also includes the information you choose to share when you take an action, such as when you refer a new user or unlock your contact information for other third parties to see.
Your name, profile, username and User ID are treated just like information you choose to make public
Information others share about you
We receive information about you from other users, such as when they issue a compliment or complaint about you.
Other information we receive about you
We also receive other types of information about you:
- We receive data about you whenever you interact with Kairuku, such as when you look at another person's profile, access product information, input sales forecasts, and / or make a comment or issue a note / complaint.
- We receive data from the computer, mobile phone or other device you use to access Kairuku. This may include your IP address, location, the type of browser you use, or the pages you visit.
- We receive data whenever you sell a product or gain an account approval. This may include the type of product you sold, the customer you have targeted, and / or the date and time it took you to achieve the sale and / or approval.
We also may utilize and combine data from the information we already have about you and other users. For example, we may analyze data about you to determine which users we should show you in your MyKairuku. We may also utilize your current city and other location information we have about you to, for example, tell you and your SubReps about promotional events nearby, or offer contests to you that you might be interested in. We may also review data about you to serve you new products that might be relevant to you.
When we get your location, we may combine it with other location information we have about you (like your current city). But we only keep this information until it is no longer useful to provide you products or services.
Public information
When we use the phrase "public information,” we mean the information you choose to make public, as well as information that is publicly available.
Information you choose to make public
Choosing to make your information public is means anyone within Kairuku, will be able to see it.
Choosing to make your information public also means that this information:
- can be associated with you (i.e., your name, profile, User ID, etc.)
- may be available to others when they do a search on Kairuku
Sometimes you will not be able to select an audience when you post something (like when you write about a product or competitor). This is because some types of posts may, at Kairuku’s discretion, be made public if Kairuku determines the post would be of use or benefit to other users.
When others share information about you, they can also choose to make it public for other Kairuku users to view.
Usernames and Passwords
A Username and Password give you access to your MyKairuku web pages and enable Kairuku to recognize you and determine what information to make available to you. Do not share your Username or Password with anybody. It is only for you to use.
When you sign up for a Kairuku email address, you will first have to select a public username. Your email address will include your public username like: username@mykairuku.com. Use your public username to communicate with other Kairuku users and to protect your identity.
How we use the information we receive
We use the information we receive about you in connection with the services and features we provide to you and other users like your subreps, the manufacturers whose products are featured on Kairuku, and the developers that build the site, applications, and websites you use. For example, we may use the information we receive about you:
- as part of our maintenance, service and support efforts as well as to keep Kairuku secure;
- to provide you with location features and services, like telling you and your subreps when something is going on nearby;
- to measure or understand the effectiveness of promotions you and others see;
- to make suggestions to you and other users on Kairuku; and
- for marketing and other business purposes.
Granting us this permission not only allows us to provide Kairuku as it exists today, but it also allows us to provide you with innovative features and services we develop in the future that use the information we receive about you in new ways.
While you are allowing us to use the information we receive about you, you always own all of your information. Your trust is important to us, which is why we don't share information we receive about you with others unless we have:
- received your permission;
- given you notice, such as by telling you about it in this policy;
- removed your name or any other personally identifying information from it; or
- as required by applicable law or to investigate, prevent or take action regarding illegal or suspected illegal activities or fraud.
We may share your information with:
- trusted partners to help perform statistical analysis, send you email or postal mail, provide customer support, or arrange for deliveries (all such third parties are prohibited from using your personal information except to provide these services to Kairuku, and they are required to maintain the confidentiality of your information);
- the organizations or entities on behalf of which we are providing our platform to you and/or on behalf of which you access or use our platform;
- our subsidiaries and affiliates;
- our service providers to the extent reasonably necessary to enable us operate our business and provide our platform to you, as described in this privacy policy (e.g., to an e-mail service provider in order to enable us to e-mail you);
- a buyer or other successor in the event of a merger, acquisition or other sale or transfer of some or all of our assets, in which information held by us about our users is among the assets transferred;
- other third parties with your express consent for any purpose disclosed by us when you provide the information; and
- you, upon your written request.
Kairuku does not sell, rent or lease its user lists to third parties. We will not sell or share your personal information with third parties for the third party's own direct marketing purposes without your express consent.
Deleting and deactivating your account
If you want to stop using your account, you can either deactivate or delete it.
Deactivate
Deactivating your account puts your account on hold. Other users will no longer see your profile, but we do not delete any of your information. Deactivating an account is the same as you telling us not to delete any information because you might want to reactivate your account at some point in the future. You can deactivate your account by contacting a Kairuku representative.
Deletion
When you delete an account, it is permanently deleted from Kairuku. It typically takes about one month to delete an account, but some information may remain in backup copies and logs for up to 90 days. You should only delete your account if you are sure you never want to reactivate it. You can delete your account by contacting a Kairuku representative.
II. Sharing and finding you on Kairuku
Control each time you post.
Whenever you post content (like a note, complaint, or competitive tip/trick) you should assume it could be viewed by other team members.
If you do not make a selection, your information will be shared.
If you issue a complaint about a Kairuku user, you, your manager and Kairuku will see the complaint.
When you refer a subrep to Kairuku, the subrep, you, your manager, and Kairuku will know; provided that the subrep is located within the existing territory and covered under the terms of the existing agreement between Kairuku and your distributor manager/owner. Subreps located outside of these parameters will be linked to you under a separate profile which is not viewable by your distributor owner or manager unless you add them as a partner or subrep.
When you request a new account / customer, you, your manager, and Kairuku will know; provided that your manager and / or owner share the account and product under a then existing agreement with Kairuku.
When you request a new product to sell, you, your manager, and Kairuku will know; provided that your manager and / or owner share the account and product under a then existing agreement with Kairuku.
Your sales, quota, and commission information may be viewed by one or more of the following: you, your manager, Kairuku, and the applicable device manufacturer; provided that your manager and / or owner share the account and product under a then existing agreement with Kairuku.
Information regarding patients is not permitted on Kairuku. Any violations of this term may result in immediate termination or your Kairuku account.
Control over your profile
If you share your contact information (such as your email address or mobile number) with your SubReps, they may be able to use third party applications to sync that information with other address books, including ones on their mobile phones.
What your SubReps share about you
Complaints
Users can issue complaints about you. If they do, Kairuku may address the complaints by contacting you directly.
Compliments / Other notes
Your subreps can write compliments or notes about you. If they do, you may be notified.
III. How Recruiting Works
We do not share any of your information with manufacturers (unless, of course, you give us permission).
When a manufacturer puts a product on Kairuku, they are given the opportunity to choose their audience by location, specialty, product, manufacturer, and any other information we receive or can tell about you and other users.
You will have the opportunity to opt-in if you want to be contacted by a manufacturer.
IV. Some other things you need to know
Responding to legal requests and preventing harm
We may share your information in response to a legal request (like a search warrant, court order or subpoena) if we have a good faith belief that the law requires us to do so. This may include responding to legal requests from jurisdictions outside of the United States where we have a good faith belief that the response is required by law in that jurisdiction, affects users in that jurisdiction, and is consistent with internationally recognized standards. We may also share information when we have a good faith belief it is necessary to: detect, prevent and address fraud and other illegal activity; to protect ourselves and you from violations of our policies; and to prevent death or imminent bodily harm.
Notifications and Other Messages
We may send you notifications and other messages using the contact information we have for you, like your email address and / or phone number.
Invitations
When you invite subreps to join Kairuku, we send a message on your behalf using your name, and up to two reminders. The invitation may also give your subrep the opportunity to opt out of receiving other invitations to join Kairuku.
Cookies
Cookies are small pieces of data that we may store on your computer, mobile phone or other device to make Kairuku easier to use, and to protect you (and Kairuku). You can always remove or block cookies (such as by using the settings in your browser), but it may affect your ability to use Kairuku.
Service Providers
We may provide your information to the people and companies that help us provide the services we offer. For example, we may use outside vendors to help host our website, process payments, or provide search results. In some cases we provide the service jointly with another company. In all of these cases our partners must agree to only use your information consistent with the agreement we enter into with them, as well as this privacy policy.
Security
We desire to keep your information secure. You can assist us by not posting content from or links to unrecognized entities.
Change of Control
If the ownership of our business changes, we may transfer your information to the new owner so they can continue to operate the service. But they will still have to honor the commitments we have made in this privacy policy.
Notice of Changes
If we make changes to this Privacy Policy we will notify you by publication here and on the MyKairuku site. If the changes are material, we will provide you additional, prominent notice as appropriate under the circumstances.
Opportunity to comment
Unless we make a change for legal or administrative reasons, or to correct an inaccurate statement, we will give you an opportunity to provide us with comments on the change. We will do our best to review all comments and to make changes as determined appropriate by Kairuku.
Notice to California Residents / Your California Privacy Rights
If you are a California resident, you may contact contact@kairuku.com to request information regarding whether and/or how we share personal information with third parties for their direct marketing purposes and/or to request that such information not be shared with third parties for such purposes. Do Not Track
Some browsers support a “Do Not Track” (or, DNT) feature, a privacy preference that users can set in certain web browsers, which is intended to be a signal to websites and services that you do not wish to be tracked across different websites or online services you visit. Our platform does not currently recognize or respond to DNT signals, so DNT settings do not change the way the platform operates.
